Terms of Service

Effective August 3, 2026

These terms govern use of the heme platform and hemeehr.com, operated by Tacit Investments, LLC (“heme,” “we,” “us”). By creating an account or using the service, you agree to them on behalf of yourself and, if you register a practice, on behalf of that practice.

The service

heme is a subscription electronic health record and practice-management platform for independent medical practices: charting, scheduling, billing and claims, patient statements, and AI-assisted documentation and coding. Pricing is a flat subscription — heme takes no percentage of a practice’s collections.

HIPAA and the Business Associate Agreement

Use of heme with protected health information requires an executed Business Associate Agreement between the practice and Tacit Investments, LLC. The practice is the covered entity and remains responsible for its own HIPAA compliance, patient consents, staff access decisions, and medical-records obligations. heme processes patient information solely to provide the service.

Professional responsibility

heme is software, not a medical professional, and nothing it produces is medical advice. AI features — note drafting, coding suggestions, appeal letters, and similar — produce drafts only. A licensed professional must review, edit as needed, and personally approve every clinical note, code, order, prescription, and claim before it is signed or submitted; the platform is built to require that human sign-off. Clinical and billing judgment, and responsibility for it, remain with the practice and its clinicians.

Accounts

Practice administrators control who has access to their practice and at what role. You are responsible for safeguarding credentials, for the actions taken under your account, and for promptly removing access for departed staff.

Payments

Subscription fees are billed through Stripe. Patient statement payments are processed by Stripe on the practice’s own connected account; heme charges no application fee on patient payments. The practice is responsible for applicable taxes and for the accuracy of the charges it bills.

Acceptable use

  • No use that violates law, including HIPAA and billing-fraud statutes.
  • No accessing records without a permitted treatment, payment, or operations purpose.
  • No attempts to probe, disrupt, or overload the service or other practices’ data.
  • No reselling or providing the service to third parties without our agreement.

Practice data

The practice owns its records. heme provides export in standard formats (FHIR R4), during the subscription and for a reasonable export window after termination. We may suspend access for material breach or nonpayment, but we will not hold patient records hostage: export remains available.

Intellectual property

heme and its software, design, and documentation are the property of Tacit Investments, LLC and its licensors. We grant practices a limited, non-exclusive, non-transferable right to use the service during their subscription.

Disclaimers and liability

The service is provided “as is.” We work to keep heme available and correct, but we do not warrant uninterrupted or error-free operation, and we are not liable for indirect, incidental, or consequential damages. Our total liability for any claim is limited to the subscription fees the practice paid in the twelve months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.

Termination

Either party may terminate with notice as set out in the practice’s subscription. We may suspend or terminate for material breach. Sections concerning data export, professional responsibility, disclaimers, and liability survive termination.

Governing law

These terms are governed by the laws of the State of California, and disputes will be resolved in the state or federal courts located in Orange County, California.

Changes

We may update these terms; material changes will be posted here with a new effective date and notified to practices. Continued use after the effective date constitutes acceptance.
